Welcome to AI Taggers. These Terms of Service ("Terms") govern your access to and use of our AI data annotation services, website, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

Please read these Terms carefully before using our Services. If you do not agree to these Terms, you may not access or use our Services.

1. Acceptance of Terms

By creating an account, accessing our website, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

These Terms constitute a legally binding agreement between you (either an individual or entity) and AI Taggers.

2. Services Description

AI Taggers provides professional AI data annotation services, including but not limited to:

• Image annotation and labeling (bounding boxes, segmentation, keypoint annotation)
• Text annotation (NER, sentiment analysis, content categorization)
• Video annotation (object tracking, action recognition)
• Audio transcription and annotation
• 3-layer quality assurance validation
• Custom annotation solutions for specialized use cases

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with or without notice.

3. Account Registration and Responsibilities

3.1 Account Creation

To access certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update this information to keep it accurate and current.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Use a strong, unique password for your account
• Notify us immediately of any unauthorized access or security breach
• Not share your account credentials with others
• Be responsible for all activities conducted through your account

3.3 Account Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Services. By using our Services, you represent and warrant that you meet these requirements.

4. Data Submission and Usage Rights

4.1 Your Data

You retain all ownership rights to the data you submit to our Services ("Client Data"). By submitting Client Data, you grant AI Taggers a limited, non-exclusive license to use, process, and annotate the data solely for the purpose of providing our Services.

4.2 Data Representations and Warranties

You represent and warrant that:

• You have the right to submit Client Data and grant us the license described above
• Client Data does not violate any third-party rights, including intellectual property or privacy rights
• Client Data does not contain illegal, harmful, or malicious content
• You have obtained all necessary consents and permissions for any personal data included in Client Data

4.3 Prohibited Data

You may not submit data that:

• Contains malware, viruses, or other harmful code
• Infringes upon intellectual property rights of others
• Contains child sexual abuse material or exploitative content
• Violates export control or sanctions regulations
• Is used for unlawful surveillance or harassment

5. Confidentiality and Non-Disclosure

All projects are protected under Non-Disclosure Agreements (NDAs). We treat all Client Data as confidential information and implement strict security measures to protect it. Our annotators and staff are bound by confidentiality obligations.

For enterprise clients requiring additional confidentiality provisions, we can execute custom NDAs and Data Processing Agreements (DPAs) upon request.

6. Quality Assurance and Service Standards

AI Taggers employs a 3-layer quality assurance process to maintain 99% accuracy:

• Layer 1: Automated validation checks
• Layer 2: Human annotator review
• Layer 3: Expert auditor verification

While we strive for excellence, annotation quality may vary based on data complexity, clarity of guidelines, and project specifications. We welcome feedback and offer revision rounds for quality concerns raised within 14 days of delivery.

7. Payment Terms

7.1 Pricing and Billing

Pricing for our Services is provided in project quotes and is based on project scope, complexity, volume, and timeline. All fees are in Australian Dollars (AUD) unless otherwise specified.

7.2 Payment Schedule

Payment terms are typically:

• 50% upfront deposit for projects over $5,000
• Net 30 payment terms for approved enterprise clients
• Full payment required before project initiation for smaller projects

7.3 Late Payments

Late payments may incur interest charges at a rate of 1.5% per month (18% annually) or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend Services for accounts with overdue balances.

7.4 Refunds

Refunds are considered on a case-by-case basis. Deposits are generally non-refundable once work has commenced. For quality issues, we will first attempt to correct the work before considering refunds.

8. Intellectual Property Rights

8.1 Annotated Data Ownership

You retain ownership of the original Client Data. Upon full payment, you own the annotated datasets produced through our Services. AI Taggers retains no rights to use your annotated data beyond the service delivery period.

8.2 AI Taggers Property

All proprietary technology, software, processes, methodologies, and know-how used to provide our Services remain the exclusive property of AI Taggers. You may not reverse engineer, copy, or attempt to derive our proprietary methods.

8.3 Feedback

Any feedback, suggestions, or ideas you provide regarding our Services may be used by AI Taggers without compensation or attribution.

9. Compliance and Regulatory Standards

AI Taggers maintains compliance with:

• ISO 27001: Information security management standards
• GDPR: European data protection regulations
• HIPAA: Health information privacy standards (for healthcare projects)
• Australian Privacy Principles: National privacy framework

Clients submitting regulated data (healthcare, financial, government) must inform us of specific compliance requirements during project scoping.

10. Limitation of Liability

To the maximum extent permitted by law:

• AI Taggers shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claim arising from these Terms or our Services shall not exceed the fees paid by you in the 12 months preceding the claim
• We are not responsible for losses resulting from your failure to safeguard account credentials, third-party actions, or force majeure events

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, whether express or implied. While we strive for 99% accuracy, we do not warrant that:

• The Services will be uninterrupted, error-free, or completely secure
• Annotated data will meet your specific requirements in all cases
• Any errors will be corrected immediately

We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Indemnification

You agree to indemnify, defend, and hold harmless AI Taggers, its affiliates, officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from: (a) your use of our Services, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) your Client Data.

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us. You remain responsible for all fees incurred prior to termination.

13.2 Termination by Us

We may suspend or terminate your access to our Services immediately if:

• You violate these Terms or applicable laws
• Your account has overdue payments
• We reasonably believe your activities pose security or legal risks
• We discontinue Services (with reasonable notice)

13.3 Effect of Termination

Upon termination, your right to use the Services ceases immediately. We will securely delete Client Data within 90 days unless legally required to retain it. Sections of these Terms that by their nature should survive termination will remain in effect.

14. Dispute Resolution

14.1 Informal Resolution

14.2 Governing Law

These Terms are governed by the laws of New South Wales, Australia, without regard to conflict of law provisions.

14.3 Jurisdiction

Any disputes arising from these Terms or our Services shall be subject to the exclusive jurisdiction of the courts located in Sydney, New South Wales, Australia.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through prominent notice on our website at least 30 days before the changes take effect. Your continued use of our Services after changes become effective constitutes acceptance of the modified Terms.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any service agreements, constitute the entire agreement between you and AI Taggers regarding our Services.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

16.5 Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, war, terrorism, pandemics, or government actions.
